Terms of Service

1. Who we are

Velcy ("Velcy", "we", "us") is operated by [Legal entity not configured], based at [Business address not configured]. You can reach us at support@velcy.app.

2. What you're agreeing to

By creating an account or using the Velcy service (the "Service"), you agree to these Terms and the Privacy Policy. If you're using Velcy on behalf of a company, you confirm that you have authority to bind that company.

3. Your account

• You must provide a valid email address and keep it current.
• You're responsible for what happens under your account, including invited teammates.
• You must be at least 18 years old, or the age of majority in your jurisdiction.
• You agree not to share sign-in links or attempt to access other workspaces.

4. Subscription, billing and cancellation

Paid plans are billed in advance through our payment processor, on a monthly or annual cycle as selected. Prices are listed on the Velcy pricing page and may change with 30 days' notice. You can cancel any time from the billing portal; cancellation stops future renewals but does not entitle you to a partial refund outside the Refund Policy.

5. Acceptable use

You agree not to:

• upload unlawful, infringing or abusive content;
• reverse-engineer, scrape or attempt to extract source code beyond what is offered as a public API;
• use the Service to send spam or run unauthorized security tests;
• use AI features (Bring-Your-Own-Key providers, MCP servers) to generate content that violates your AI provider's acceptable use policy.

We may suspend or terminate accounts that violate these rules. Where reasonable, we will warn you first.

6. Your content

You own the content you create in Velcy (tasks, documents, comments, attachments). You grant us a worldwide, non-exclusive licence to host, process and display it for the purpose of operating the Service. We don't use your content to train AI models. If you connect your own AI provider, your prompts and outputs are governed by that provider's terms.

7. Availability

We aim for high availability but the Service is provided "as is" without uptime guarantees on free and Pro plans. Business and Enterprise plans may include service-level commitments as set out in their order forms.

8. Third-party services

Velcy relies on third-party providers (hosting, databases, email delivery, payments). A current list of subprocessors is available on request. We aren't responsible for outages or issues caused by these providers but we work to recover service promptly.

9. Limitation of liability

To the maximum extent permitted by law, Velcy's total liability for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months before the claim arose. We are not liable for indirect, incidental, special or consequential damages, including lost profits, lost data or business interruption.

10. Termination

You can close your account from the in-app settings at any time. We may terminate your account if you breach these Terms or fail to pay fees. On termination, we retain your data for the period set out in the Privacy Policy before permanent deletion.

11. Changes

We may update these Terms from time to time. Material changes will be announced via email or in-app notice at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance.

12. Governing law

These Terms are governed by the laws of India. The courts of [Governing city not configured], India have exclusive jurisdiction over any dispute arising from these Terms or the Service.
